Terms of Service

Effective from: 2026-05-10

This document is a draft and may be finalized or supplemented after legal review. The current content is provisional and its official effect is not guaranteed.

These Terms of Service (the "Terms") govern the rights, obligations, and responsibilities between OVERAY Inc. (the "Company") and the user with respect to the services provided by the Company (including OVERAY DESK and OVERAY DESIGN; the "Service"). This is a first draft and may be revised after legal review.

These Terms apply commonly across the services provided by the Company. Product-specific conditions — such as fees, payment and refunds, beta features, and authentication methods for each product (such as OVERAY DESK) — are governed by that product's own terms and policies, which prevail to the extent they conflict with these Terms.

Article 1 (Purpose)
These Terms set forth the conditions and procedures for using the services provided by the Company, and the rights, obligations, and responsibilities of the Company and the user.
Article 2 (Definitions)
"Service" means the products operated by the Company (including OVERAY DESK and OVERAY DESIGN), including all features the Company provides regardless of form (web, desktop, mobile, VR, etc.). "User" means any natural person or legal entity who has agreed to these Terms, entered into a service agreement with the Company, and uses the Service. "Content" means all designs, images, text, workflow definitions, and related metadata that the user creates, uploads, or generates within the Service.
Article 3 (Effect and Amendment of the Terms)
These Terms become effective when the user agrees to them at the time of sign-up, and take effect when the Company posts them on the Service. The Company may amend these Terms within the scope that does not violate applicable laws. When the Terms are amended, the Company will notify users via in-service announcement or email at least 7 days before the effective date (at least 30 days in advance for changes that are unfavorable to users). Users have the right to disagree with the amended Terms. If a user does not agree, the user may terminate the service agreement.
Article 4 (Sign-up and Account)
Users may sign up through the Company's designated authentication method or a connected social account. Users are responsible for keeping the information provided at sign-up accurate, and for managing the security of their own account credentials (passwords, tokens, etc.). Users must notify the Company immediately upon becoming aware that their account has been used without authorization or that a security threat has occurred. The Company is not liable for damages caused by delayed notification.
Article 5 (User Obligations)
Users shall not engage in any of the following acts: (i) creating, uploading, or sharing Content that infringes the intellectual property, portrait, or reputation rights of others; (ii) interfering with the normal operation of the Service; (iii) causing abnormal calls or load through automated tools or scripts; or (iv) acts that violate applicable laws or public order and morals. In the event of a violation, the Company may take necessary measures, including deletion of the user's Content, temporary suspension, or permanent suspension of the account, without prior notice.
Article 6 (Company Obligations)
The Company will make reasonable efforts to provide the Service stably and continuously. However, the Service may be temporarily suspended due to scheduled maintenance, system upgrades, force majeure, or failures of external infrastructure (authentication, storage, AI model providers, etc.). The Company will, to the extent practicable, give advance or after-the-fact notice.
Article 7 (Content and Intellectual Property)
The rights to outputs created by the user within the Service belong to the user. However, the Company may use such outputs on a non-exclusive, royalty-free basis to the extent necessary for providing, maintaining, improving, and promoting the Service. Copyright ownership of and liability for AI-generated outputs follow the laws of the relevant country and any policies separately announced by the Company.
Article 8 (Payment and Refunds)
Fees, payment methods, and refund policies for paid features follow the policies posted in each product's terms and on its payment page.
Article 9 (Modification and Suspension of the Service)
The Company may change or suspend part or all of the Service as needed for operational or technical reasons. In the event of a material change or discontinuation of the Service, the Company will provide notice at least 30 days in advance and will provide paid plan users with a refund proportionate to the unused portion.
Article 10 (Limitation of Liability)
To the extent not prohibited by applicable laws, the Company is not liable for (i) damages incurred while using the free Service; (ii) damages caused by the user's fault; or (iii) damages caused by Content provided by third parties or by failures of external services (authentication, storage, AI generation providers, etc.). Even where the Company is liable, damages are limited to direct damages. Ordinary or special damages are recoverable only where the Company foresaw, or could have foreseen, their occurrence.
Article 11 (Dispute Resolution and Governing Law)
These Terms and any disputes regarding the Service are governed by the laws of the Republic of Korea. Any lawsuit arising from a dispute between the Company and a user shall be filed in the court having jurisdiction over the location of the Company's headquarters as the agreed court of first instance. If the user resides outside the Republic of Korea, mandatory provisions of the user's country of residence (such as the GDPR) may apply with priority.
Supplementary Provisions
These Terms take effect on May 10, 2026.
